Constitution of BRACE:
Preamble
In the spirit of unity, collaboration, and the collective pursuit of a better community, we, the residents of Bahria Town, DHA, Zaraj, Gulberg Green, Naval Anchorage, Media Town, Doctors Town, and Gulraiz in Rawalpindi and Islamabad, gather to establish “BRACE.” We recognise that our strength lies in our togetherness and our ability to advocate for our shared interests.
This constitution, a reflection of our collective wisdom, serves as a guiding light for BRACE. It defines our purpose, structure, principles, and values. Through this constitution, we solemnly commit to the principles of accountability, transparency, and inclusivity. We pledge our dedication to advancing the welfare and progress of our community.
On this day 05th November 2023, in the city of Islamabad, Pakistan, we affirm our commitment to uphold this constitution, crafted under the provisions of Section 42 of the Companies Act, 2017.
Article 1: Name and Area of Operation
Section 1.1: Name The organization shall be known as “BRACE”.
Section 1.2: Area of Operation
BRACE’s primary sphere of influence and service shall encompass Bahria Town, DHA, Zaraj, Gulberg Green, Naval Anchorage, Media Town, Doctors Town, and Gulraiz in Rawalpindi and Islamabad. However, we remain open to extending our impact to other regions and cities across Pakistan, as determined by our General Body.
Article 2: Objectives
Section 2.1: Vision
BRACE envisions becoming a highly regarded and pioneering beacon, wholly dedicated to enhancing the quality of life within Bahria Town and similar communities.
Section 2.2: Mission
Our mission is to empower communities, enrich lives, and foster a prosperous future for residents and vested stakeholders.
Section 2.3: Objectives
BRACE is passionately committed to the following objectives:
Empowering Community through Education and Skill Development:
Devoted to empowering individuals within our community through awareness and promotion of moral and ethical values, respecting the rule of law, and providing training, mentorship, and skills that stimulate entrepreneurship, generate employment opportunities, and enhance financial stability, resulting in a fulfilling personal and professional life.
Fostering Social Inclusion and Embracing Cultural Diversity:
Aiming to create a sense of belonging and social cohesion while embracing diversity. Our commitment is to establish an inclusive environment where every individual is esteemed and respected. We celebrate and embrace the rich tapestry of cultures, traditions, and backgrounds within our community.
Promoting Environmental Sustainability and Community Development:
Initiating environmental conservation projects, endorsing sustainable practices, and actively engaging in community development initiatives. This includes tree planting, waste management, the adoption of clean energy, and projects that enhance the overall living conditions in our community. Our organization strives to raise awareness of a clean, green, and safe environment where residents can thrive and enjoy an exceptional quality of life.
Section 2.4: Core Principles
In pursuit of our objectives, BRACE is guided by the following core principles:
- Inclusivity: Embracing diversity and ensuring equal participation and representation for every resident.
- Accountability: Demonstrating responsibility and transparency in the management of resources and decision-making processes.
- Non-Political Nature: Maintaining a strictly non-political and non-sectarian stance in all activities.
- Community Development Focus: Committing to initiatives that bolster the social, cultural, and economic fabric of our community.
- Conflict of Interest Management: Identifying and mitigating conflicts of interest to safeguard the community’s best interests.
- Voluntary Participation: Encouraging and valuing the voluntary engagement of our members in all community activities.
Section 2.5: Mission Statement BRACE is dedicated to the collective empowerment, well-being, and progress of the residents of Bahria Town, DHA, Zaraj, Gulberg Green, Naval Anchorage, Media Town, Doctors Town, and Gulraiz in Rawalpindi and Islamabad and, where relevant, in other areas of Pakistan. Our mission is rooted in the following principles:
1. Promote Unity and Mutual Support: Fostering a sense of community, we seek to create a platform for neighbors to support and care for one another.
2. Address Common Concerns: We stand committed to addressing the issues that affect the quality of life in our neighborhoods, focusing on infrastructural, security, developmental, maintenance, service, and other community matters.
3. Advocate for Residents’ Rights: We actively engage with local authorities and stakeholders, advocating for the rights and interests of our residents.
4. Encourage Civic Engagement: We promote engagement in community development initiatives and decision-making processes, actively involving our residents.
5. Champion Transparency and Accountability: Transparency, inclusivity, and ethical conduct are our guiding principles in all endeavours.
6. Collaboration for Collective Growth: We collaborate with local authorities and institutions to enhance the well-being of our community.
Article 3: Membership
Section 3.1: BRACE Membership Eligibility
Membership in BRACE is open to all residents, property owners, and tenants within Bahria Town, DHA, Zaraj, Gulberg Green, Naval Anchorage, Media Town, Doctors Town, and Gulraiz in Rawalpindi and Islamabad, as well as potentially to other regions or cities in Pakistan, provided they align with BRACE’s objectives and principles.
Section 3.2: Membership Categories
BRACE recognizes the following membership categories:
- Full Member: Includes residents, property owners, and tenants.
- Associate Member: Individuals or entities that support BRACE objectives but do not meet the criteria for full membership.
- Student Member: Students residing within the areas of operation. They can participate in discussions and activities and have access to specific programs but do not have voting rights or eligibility to hold office.
- Honorary Member: Individuals recognized for their significant contributions to the community or BRACE. They can participate in discussions and activities but do not have voting rights or eligibility to hold office.
Section 3.3: Rights and Privileges of Members
The rights and privileges of members are determined by their membership category:
- Full Members:
- Receive BRACE Membership Card.
- Possess voting rights.
- Eligible to hold an Office position within BRACE.
- Engage in discussions regarding policy-making.
- Access to BRACE constitution, policies, and other resources.
- Access to officially organized events.
- Free Skill and Professional Development Training Sessions.
- Free Career Counselling.
- Free Business and Education Consultation.
- Free access to BRACE Digital Library.
- Free access to senior citizens club.
- Discounts from selected businesses in Bahria Town and surrounding areas.
- Registration in the Talent pool for job opportunities within the community.
- Business registration in the BRACE Business Directory.
- Promotion of local business within the community.
- Associate Members:
- Can only participate in discussions and activities.
- Student Members (Proposed):
- Participate in discussions and activities.
- Access to specific educational and skill development programs.
- Honorary Members (Proposed):
- Recognized for their contributions and can participate in discussions and activities.
Section 3.4: Membership Fee
Currently, BRACE membership is free. However, a reasonable annual fee for full members will be announced soon to access all rights and privileges.
Section 3.5: Membership Procedure
Applicants who meet the eligibility criteria can apply by submitting the Membership e-Form. The Executive Committee reviews and approves membership applications.
Section 3.6: Membership Termination
Membership might be terminated for reasons including violation of BRACE’s constitution, bylaws, or code of conduct; non-payment of prescribed fees; or actions detrimental to BRACE’s interests, as determined by the Executive Committee.
Section 3.7: Membership Restoration
Members whose membership has been terminated can apply for reinstatement after addressing the reasons for termination, subject to the approval of the Executive Committee.
Article 4: Organizational Structure
Section 4.1: General Body BRACE consists of a General Body comprising all full members.
Section 4.2: Executive Committee BRACE shall establish an Executive Committee consisting of elected office bearers and executive members. As of 05th November 2023, the Founding Members and nominated office holders of the Management Board/Executive Committee are:

The Executive Committee shall oversee the organisation’s management and policy-making, providing office bearers their job descriptions and when needed holding them accountable for their actions.
Section 4.3 (Addition): Responsibilities of Executive Committee Members In order to foster clarity, accountability, and effective governance within BRACE, here are the detailed job descriptions for each role within the Executive Committee. The roles and their respective responsibilities are as follows:
- Chairperson Board of Directors: Oversees the overall strategic direction of BRACE, chairs Board meetings, and ensures that Board resolutions are executed effectively.
- CEO/President: Responsible for the day-to-day management of BRACE, implementing policies approved by the Board, and serving as the primary spokesperson for the organization.
- Secretary/Vice President Relationship: Manages administrative tasks, ensures effective communication within the Board and with members and oversees member & all stakeholders’ relations.
- Vice President-Trade & Business Development: Drives initiatives for trade and business growth within the community, liaising with external stakeholders to foster economic development.
- Vice President-Legal: Support the legal needs of BRACE organization and advise on Tax related matters for community members.
- Vice President-Learning & Development: Coordinates educational and professional development programs for members, promoting skill enhancement and lifelong learning.
- Vice President-Administration: Overseas general administration activities. Plan, execute, and lead community-based events and other humanitarian services within our communities.
Section 4.4: Authority and Chain of Command To ensure a structured and efficient operational environment, the following chain of command and communication protocols are hereby established:
- All Executive Committee members shall exercise their authority within the bounds defined by their job descriptions.
- Decisions impacting the broader strategy of BRACE must be ratified by the Board of Directors.
- Regular communication and reporting channels shall be maintained to ensure transparency and coordination across different levels of the organization.
Section 4.5: Sub-Councils BRACE may appoint sub-councils or committees for specific purposes, as determined necessary by the General Body or the Executive Committee.
Section 4.6: Local Administrations Each Phase of society within our areas of operation shall have its separate local administration responsible for local matters and coordination with BRACE’s central administration.
Article 5: General Body
Section 5.1: Composition The General Body consists of all full members of a particular housing scheme.
Section 5.2: General Body Meetings The General Body shall convene periodic meetings to discuss important matters, receive reports, and make decisions regarding BRACE’s affairs.
Section 5.3: Decision-Making Decisions within the General Body shall be made by a majority vote.
Article 6: Office Bearers
Section 6.1: Role and Composition The Office Bearers, appointed by the General Body, shall manage and oversee the day-to-day operations of BRACE as per their given roles and responsibilities in the constitution and bylaws.
Section 6.2: Responsibilities The Office Bearers are responsible for implementing BRACE’s policies and ensuring that its activities align with the organization’s objectives and principles.
- Section 6.3: Term of Office The term of office for members of the Executive Committee of BRACE shall be (2) two years. Performance during this tenure will be a key determinant for future terms:
- Performance Evaluation and Continuation: Members who demonstrate strong performance and effective leadership are eligible to receive votes for a continued role in the Executive Committee. Their continued service will be determined by the voting process.
- Replacement of Ineffective Members: Members whose performance is deemed inadequate will be subject to replacement. Such members can be replaced through nominations and elections. This principle applies to all roles and positions within the Executive Committee.
- Interim Period for the First EXCOM: For the initial formation of the BRACE EXCOM, an agreed interim period of (1) one year or less is established until the first formal electoral process is conducted.
- This interim period and process are essential to establish a foundation for governance and to ensure a smooth transition to the formal structure as outlined in the BRACE Constitution. The Executive Committee, during this period, will be responsible for setting the groundwork for future elections and operations of BRACE.
Article 7: Sub-Councils and Committees
Section 7.1: Establishment BRACE may form sub-councils or committees, as required, to address specific aspects of community development and organization management.
Section 7.2: Roles and Responsibilities Each sub-council or committee shall have its defined roles and responsibilities, determined by the Executive Committee.
Section 7.3: Accountability
- Members of RACE shall be accountable for their conduct and actions within the organization.
- A member may be subject to disciplinary action, including suspension or expulsion, for actions that undermine RACE’s objectives or integrity.
Article 8: Local Administrations
Section 8.1: Composition Local Administrations shall comprise residents chosen by members within the respective Bahria Town locality.
Section 8.2: Role and Function Local Administrations are responsible for addressing local matters and ensuring effective coordination with BRACE’s central administration.
Article 9: Meetings
Section 9.1: Annual General Body Meeting
- RACE shall hold an annual General Body meeting within three months of the conclusion of the financial year (by 30th September).
- The General Body meeting shall discuss and transact the following business: a. Matters referred by the Executive Committee. b. Election of office bearers and members of the Executive Committee. c. Approval of audit reports and financial statements. d. Appeals and matters referred by the Executive Committee. e. Amendments to the constitution as necessary.
Section 9.2: Special or Emergency Meetings
- A special or emergency meeting of the General Body may be called by the Vice President with the consultation of the President.
- Such meetings shall require a written notice of at least seven days to all members.
Section 9.3: Quorum
- For General Body meetings, 50% of the total members in good standing shall constitute a quorum.
- For special or emergency meetings, one-fourth of the total members in good standing shall constitute a quorum.
- Section 9.4: Executive Committee Meetings
The Executive Committee of BRACE shall hold regular meetings to oversee and manage the organization’s activities and progress. These meetings are essential for:- Frequency: The Executive Committee shall meet at least once a month to ensure consistent oversight and management of BRACE’s activities.
- Agenda and Focus: During these meetings, the Executive Committee will address various issues, present progress reports, and review Key Performance Indicators (KPIs) related to the organization’s objectives and the agreed action plan.
- Objective: The primary objective of these meetings is to ensure smooth and timely execution of the action plan, allowing for adjustments and strategic decision-making to align with BRACE’s goals and objectives.
These regular meetings are crucial for maintaining transparency, fostering effective communication among committee members, and ensuring that BRACE operates efficiently and in alignment with its mission and vision.
Article 10: Term of Office
Section 10.1: Term Duration
- The term of office for all ELECTED office bearers and executive members shall be [TWO] years, commencing from the date of their election, however, all initial interim office holders will have a period of 1 year or less to sort out everything and conduct elections as per this constitution.
Section 10.2: Re-election
- Office bearers and executive members may be re-elected for consecutive terms, provided they do not exceed the term limits specified in this constitution or in the bylaws.
- Section 10.3: Vacancies In the event of a vacancy within the Executive Committee of BRACE, the following procedures will be implemented to ensure continuity and effective functioning of the committee:
- Co-opting Members for Immediate Filling: Should a vacancy arise, the Executive Committee may co-opt a member to fill the position temporarily until the next General Body meeting. This ensures that the committee continues to operate effectively without interruption.
- By-Elections for Vacancies: If a vacancy occurs before half of the term is completed, a by-election shall be conducted to permanently fill the position. This process allows for a democratic selection of a new member in alignment with BRACE’s commitment to participatory governance.
- Volunteering for Vacancies: Full members of BRACE are encouraged to volunteer for any vacancies. Volunteers should demonstrate their skills, competencies, experiences, and qualifications to justify their candidacy for the role. The recruitment process for filling vacancies will be vetted by the Executive Committee (Excom) to ensure suitability and alignment with BRACE’s objectives.
- Preference for Society Residents: All vacancies should ideally be filled by residents of the concerned society to maintain a strong community representation. Outsourcing or external appointments should only be considered when special services or skills, not available within the society, are required.
These procedures for handling vacancies in the Executive Committee ensure that BRACE maintains a dynamic and responsive leadership structure, capable of adapting to changing needs and circumstances while upholding the principles of community representation and participatory governance.
Article 11: Election
Section 11.1: Election Committee
- An Election Committee shall be constituted by the General Body during the annual General Body meeting to arrange and conduct elections for the office bearers and executive members of the Executive Committee.
- The Election Committee shall consist of three members, including a chairman, who shall not seek election for any position within the Executive Committee.
Section 11.2: Election Process
- Elections shall be held through secret ballot during a General Body meeting.
- The Election Committee shall provide a written notice of the date, time, and place of the election meeting at least 18 days prior to the election date.
Section 11.3: First Election
- The first election of BRACE shall be conducted by the founder members, and the procedures outlined in this constitution may not apply to the first election.
Article 12: Vote of No Confidence
Section 12.1: Motion for Vote of No Confidence
- A vote of no confidence against any office bearer or Executive Committee member may be initiated by any member of BRACE in written form with a justification supported by valid reasons.
- A vote of no confidence motion shall require the support of at least two-thirds of the General Body or Executive Committee members.
- A vote of no confidence motion shall be considered only during a General Body meeting or an Executive Committee meeting.
The concerned officer will not discharge his/her responsibilities from the time of the motion for VONC till the result to ensure a just and unbiased result of the voting process.
Section 12.2: Consequences of a Successful Vote of No Confidence
- If a vote of no confidence is successful, the concerned office bearer or Executive Committee member shall be removed from their position, and a by-election shall be held to fill the vacant position.
Article 13: Amendments in the Constitution
Section 13.1: Amendment Proposal
- Any member of BRACE may propose amendments to the constitution by submitting a written proposal to the Executive Committee.
Section 13.2: Approval Process
- Proposed amendments must be approved by a three-fourths majority vote of the General Body members present in voting during a General Body meeting.
- BRACE may not make any changes to the constitution, memorandum of association, rules, regulations, or by-laws without the prior approval of the Registration Authority in accordance with Section 42 of the Companies Act, 2017.
Article 14: Bylaws
Section 14.1: Bylaws BRACE shall develop bylaws to provide detailed guidelines for its operations and decision-making processes.
Section 14.2: Approval Bylaws shall be approved by the General Body during a General Body Meeting.
Article 15: Finances and Resources
- Section 15.1: Financial Management
BRACE is committed to maintaining transparent and ethical financial management practices. This commitment is central to ensuring the integrity and trustworthiness of the organization. Our financial management practices include:- Detailed and transparent accounting of all financial transactions.
- Adherence to established financial controls and auditing standards.
- Regular financial reporting to the members of BRACE.
- Section 15.2: Resources
In pursuit of its objectives, BRACE may engage in various activities to raise funds and manage resources:- Fundraising and Donations: BRACE may raise funds and accept donations in a manner that aligns with its objectives and ethical standards.
- Sponsorships and Promotions: Engaging in sponsorships and promotional activities is another avenue for generating revenue. These activities will be conducted in a way that aligns with the values and objectives of BRACE.
- Ads and Marketing Initiatives: BRACE may undertake advertising and marketing initiatives to further its activities and generate income to support its programs and projects.
- Volunteerism and Compensation: It is important to note that all roles and positions within BRACE are on a volunteer basis. There is no financial compensation or benefits provided to the members holding these roles. This policy reinforces the spirit of volunteerism and community service that is at the heart of BRACE.
These financial management and resource generation practices are designed to support BRACE’s mission and activities while ensuring accountability and sustainability. They reflect the organization’s commitment to ethical standards and the principle of serving the community.
Article 16: Dispute Resolution
Section 16.1: Internal Dispute Resolution In the event of disputes among members, the parties involved shall first attempt to resolve the matter through internal channels, including discussion and mediation.
Section 16.2: Mediation If internal resolution efforts fail, the matter may be referred to a mediation committee formed by the Executive Committee to facilitate a fair and impartial resolution.
Section 16.3: Binding Arbitration If mediation efforts do not lead to a resolution, the dispute may be subject to binding arbitration in accordance with the laws of Pakistan.
Section 16.4: Jurisdiction The jurisdiction for dispute resolution shall be within the territorial limits of Pakistan.
Article 17: Legal Proceedings
Section 17.1: Legal Representation BRACE may engage legal representation as necessary to protect its interests and rights in any legal proceedings.
Section 17.2: Legal Action on Behalf of BRACE Any legal action or proceeding initiated on behalf of BRACE shall require the prior authorisation of the Executive Committee.
Section 17.3: Legal Obligations Members shall adhere to all legal obligations and responsibilities associated with their roles within BRACE.
Article 18: Ratification
Section 18.1: Ratification of the Constitution This constitution of BRACE shall come into effect upon the approval of the General Body during the inaugural General Body meeting.
Section 18.2: Existing Members All existing members of BRACE, upon the adoption of this constitution, shall be considered as members in good standing.
Section 18.3: Registration BRACE shall take all necessary steps to ensure its registration as a company limited by guarantee under Section 42 of the Companies Act, 2017.
Article 19: Transitional Provisions
Section 19.1: Continuation of Existing Executive Committee
The Existing Executive Committee of BRACE, as of the adoption of this constitution, shall continue to function until the conclusion of its term.
Section 19.2: Compliance with the Constitution
All actions and decisions of the existing Executive Committee, taken prior to the adoption of this constitution, shall be deemed valid and in compliance with this constitution.
Section 19.3: Amendment of Existing Rules and Regulations
Any existing rules, regulations, or by-laws of BRACE that are inconsistent with this constitution shall be amended or revised as necessary to bring them into conformity with this constitution.
Article 20: Expansion into Other Areas
Section 20.1: Initial Domain
BRACE’s initial domain of operation shall encompass our designated areas of operation.
Section 20.2: Expansion
BRACE may, in the future, expand its domain of operation to include other areas or cities of Pakistan as deemed necessary and approved by the General Body.
Section 20.3: Local Administration in Other Areas
In areas or cities where BRACE expands its operations, it shall establish separate local administrations that operate under the umbrella of BRACE, adhering to the principles and guidelines set forth in this constitution.
Article 21: Audit and Financial Reporting
Section 21.1: Financial Records
BRACE shall maintain proper financial records and shall have its accounts audited annually by a qualified auditor in accordance with the Companies Act, 2017.
Article 22: Execution of Documents
Section 22.1: Authorized Signatories
All documents requiring execution on behalf of BRACE shall be signed by authorized signatories, as determined by the Executive Committee.
Article 23: Interpretation
Section 23.1: Interpretation of the Constitution
In case of any dispute or ambiguity arising in the interpretation of any provision of this constitution, the decision of the Executive Committee shall be final.
Section 23.2: Reference to Companies Act
In matters related to the operation and management of BRACE, this constitution shall be read in conjunction with and subject to the provisions of the Companies Act, 2017, particularly Section 42.
Section 23.3: Governing Law
This constitution shall be governed by and interpreted in accordance with the laws of Pakistan.
Article 24: Dissolution
Section 24.1: Dissolution Process
In the event of a decision to dissolve BRACE, a special meeting of the General Body shall be convened for this purpose, and dissolution shall be subject to approval by a two-thirds majority vote of the General Body members.
Section 24.2: Liquidation
Upon dissolution, any assets or funds of BRACE remaining after the satisfaction of all debts and liabilities shall not be distributed among the members but shall be transferred to one or more nonprofit organizations with similar objectives, as determined by the General Body.
Section 24.3: Compliance with Legal Requirements
The dissolution process shall comply with the provisions of the Companies Act, 2017, and any other applicable laws of Pakistan.
Article 25: Miscellaneous
Section 25.1: Official Communication
All official memos, notices, announcements, and communications from BRACE to its members and community shall be delivered through the following electronic platforms, BRACE Letterhead, or through any other means deemed appropriate by the Executive Committee.

BRACE doesn’t take responsibility for any communication or exchange of information done by anyone on behalf of BRACE other than the stated Official mode of communication.
Section 25.2: Indemnification
BRACE may indemnify its Executive Committee members and officers to the extent permitted by law.
Section 25.3: Dissolution Clause
This constitution supersedes and replaces any previous constitution or governing documents of BRACE, and it shall remain in effect until amended or dissolved in accordance with its provisions.
Article 26: Code of Conduct and Ethics
Section 26.1: Code of Conduct
Members of BRACE shall adhere to a code of conduct that upholds professionalism, ethics, and respect for fellow members, the community, and the organization itself. This code is fundamental to fostering a positive and productive environment within BRACE.
Section 26.2: Conflict of Interest
Members of BRACE must actively avoid any conflict of interest that may compromise the organization’s objectives or the trust of its members. Transparency in declaring potential conflicts is essential for maintaining the integrity of BRACE.
Section 26.3: Ethical Behavior
Members of BRACE are expected to engage in ethical behavior at all times. This includes maintaining honesty, transparency, and accountability in all interactions and activities related to BRACE. Ethical behavior is a cornerstone of trust and credibility within the organization and the community it serves.
Section 26.4: Enforcement
The Executive Committee of BRACE is responsible for overseeing the enforcement of the code of conduct. This responsibility includes ensuring that all members are aware of the code, understand its importance, and adhere to its principles.
Section 26.5: Information Security and Confidentiality
Members of BRACE are required to uphold stringent measures for information security and confidentiality. This includes the responsible handling of sensitive information, respecting privacy, and ensuring that all data and communications are secured against unauthorized access. Details and specific policies related to information security and confidentiality will be outlined and regularly updated to reflect best practices and legal requirements.
Article 27: Adoption of the Constitution
Section 27.1: Initial Adoption
This constitution, known as the “Constitution of BRACE” shall be adopted and come into effect upon approval by the Executive Committee of BRACE during its special meeting.
Section 27.2: Amendments
Subsequent amendments to this constitution shall also be adopted and come into effect following the approval process outlined in the bylaws.
Section 27.3: Registration Authority
A copy of this constitution and any amendments thereto shall be filed with the relevant Registration Authority in accordance with the Companies Act, 2017.
Section 27.4: Implementation
This constitution shall be implemented immediately upon its adoption, and all members of BRACE shall be bound by its provisions.
